Website Ownership
Boss Motto LLC – Website Ownership Policy
Effective Date: January 15, 2025
This Website Ownership Policy governs all websites, digital assets, layouts, designs, structures, and configurations created, managed, or hosted by Boss Motto LLC (“Boss Motto,” “we,” “us”) under any subscription, service plan, or agreement. This policy is incorporated into and forms part of the Boss Motto Terms of Service, Client Agreement, and Refund & Cancellation Policy.
A plain-language overview of website ownership options, Maintenance Status, and Buy-Out is available on our Website Ownership, Maintenance Status & Buy-Out Policy page. This document contains the legally binding terms.
1. Website Ownership During Active Subscription
All websites, layouts, designs, templates, structures, configurations, and agency-managed platform setups created or maintained by Boss Motto as part of an active subscription remain the exclusive property of Boss Motto.
Clients are granted a limited, non-transferable, revocable license to use the website solely for their business purposes while the subscription remains active and in good standing.
This ownership model allows Boss Motto to provide ongoing hosting, updates, maintenance, security oversight, and support at a reduced monthly rate.
2. Client Content & Brand Assets
Clients retain ownership of all brand assets they provide, including but not limited to:
Logos
Written content
Images
Trademarks
Branding materials
By submitting content to Boss Motto, the Client grants Boss Motto a limited license to use, modify, and display such materials solely for the purpose of providing contracted services.
3. Backend Access & Platform Control
During any active subscription or service plan:
Boss Motto retains administrative control of hosting, platform accounts, and backend systems
Clients do not receive full administrative access, source files, or hosting credentials unless explicitly agreed to in writing
This structure ensures platform stability, security, service continuity, and consistent support.
4. Maintenance Status
Maintenance Status is a limited service tier intended solely to maintain website stability and technical functionality.
Maintenance Status:
Does not include optimization, strategic updates, redesigns, SEO services, or Growth Channel services
Does not alter ownership status
Does not grant platform administrative access
Websites under Maintenance Status remain part of Boss Motto’s agency-managed infrastructure and are not eligible for ownership transfer without a completed Website Buy-Out.
Boss Motto reserves the right to determine eligibility for Maintenance Status and may deny or revoke Maintenance Status if service scope exceeds its intended purpose.
5. Subscription Cancellation & Website Status
If a subscription or service plan is canceled or terminated:
Hosting, updates, monitoring, Growth Channel services, and support will cease at the end of the current billing cycle
The website may be unpublished
Boss Motto may retain a backup copy of the website for up to thirty (30) days
After thirty (30) days, the website and associated files may be permanently deleted unless a Website Buy-Out & Transfer has been completed.
6. Website Buy-Out & Transfer (Full Ownership)
Clients may request a Website Buy-Out & Transfer to obtain full ownership and control of their website.
A Website Buy-Out includes:
Transfer of website administrative access (where technically feasible)
Removal of Boss Motto’s agency-managed infrastructure
Release of Boss Motto’s control over the platform
Handoff or export of site content where supported by the platform
Buy-Out Fee
The minimum Website Buy-Out fee is $2,500
Final pricing may increase based on website size, features, integrations, and complexity
Buy-Out fees must be paid in full before any transfer occurs
Boss Motto reserves the right to determine the final Buy-Out amount.
7. Exclusions & Limitations
A Website Buy-Out does not include:
Growth Channel services (Review Shield™, YouTube Ads oversight, Social Posting, or similar)
Advertising accounts, campaigns, or ad data
Third-party licenses or subscriptions
Paid plugins, fonts, themes, stock imagery, or software licenses
Third-party platform fees or accounts unless explicitly agreed in writing
After transfer, Clients are solely responsible for their own hosting, accounts, licensing, advertising, and compliance.
8. Eligibility, Outstanding Balances & Discretion
Boss Motto may deny or delay a Maintenance Status request or Website Buy-Out if:
The account has outstanding balances
Payment disputes or chargebacks are active
The Client is in violation of service terms
Minimum service term requirements have not been met
All balances must be settled before any downgrade, transfer, or Buy-Out is approved.
9. Optional Nature of Buy-Out
Website Buy-Out is optional. Most clients choose to remain on a Boss Motto subscription to continue receiving hosting, updates, security oversight, Growth Channel support, and ongoing concierge services.
No ownership transfer occurs without a completed Website Buy-Out & Transfer.
10. Policy Updates
Boss Motto reserves the right to update this policy at any time. Continued use of services after changes constitutes acceptance of the revised policy.
