1. Acceptance

By purchasing, subscribing to, or using any Boss Motto services, you agree to this Client Agreement, the Website Ownership Policy, and the Privacy Policy.

2. Scope of Services

Boss Motto provides subscription-based and one-time digital services including website management, local optimization, Growth Channels, and related business support.

Specific deliverables and limitations are defined in the Client’s selected plan and Service Summary.

If a requested task falls outside the agreed scope, Boss Motto will provide a separate quote before proceeding.

3. Service Limitations

The Concierge Plan includes foundational support only.

It does not include:

• Full website redesigns
• Advanced SEO campaigns
• Large-scale content builds
• Custom software development
• High-volume e-commerce management beyond plan limits

Advanced or expanded services require separate agreement.

4. E-Commerce Support

Concierge support is designed for small e-commerce stores.

Included product update limits are defined in the Service Summary.

Product updates are processed in scheduled batches.

Larger catalog operations, bulk uploads, ERP integrations, or enterprise-scale inventory management require a custom plan.

5. Billing & Payment Authorization

By subscribing, Client authorizes recurring billing via approved payment processors.

• Subscriptions renew automatically
• Partial months are not prorated
• Pricing changes require 60 days’ notice
• Failure to maintain valid payment may result in service suspension

Advertising budgets and third-party platform fees are paid directly by the Client and are not included in subscription fees.

6. Refund & Cancellation

30-Day Guarantee (New Clients Only)

New clients may cancel within 30 days for a refund of subscription fees paid.

Does not apply to:

• Setup fees
• One-time services
• Trademark filings
• Advertising spend
• Third-party platform costs

After 30 days:

• Subscription fees are non-refundable
• Partial months are not refunded
• Prepaid or annual plans are non-refundable

7. One-Time Services

All one-time services and setup fees are non-refundable once work has begun.

This includes website builds, branding, compliance filings, and trademark coordination.

8. Website Ownership

Website ownership, backend access, and transfer rights are governed by the Website Ownership & Buy-Out Policy.

9. Communication & Requests

To maintain organization and efficiency, formal update requests should be submitted through the designated request system.

Quick questions may be handled via text or email; however, work may not begin until properly submitted.

10. Third-Party Platforms

Boss Motto is not responsible for:

• Third-party outages
• Platform suspensions
• Policy changes
• Advertising results
• Revenue outcomes

We provide oversight and management — not guarantees.

11. Confidentiality

Boss Motto treats client information as confidential and uses it solely to deliver contracted services.

12. Limitation of Liability

Boss Motto’s total liability shall not exceed the total amount paid by Client in the preceding three (3) months.

We are not liable for indirect, incidental, or consequential damages.

13. Suspension & Termination

Services may be suspended for:

• Non-payment
• Violation of agreement
• Abusive behavior
• Fraudulent activity

Outstanding balances remain due.

14. Entire Agreement

This Agreement, together with the Website Ownership Policy and Privacy Policy, constitutes the entire agreement between the parties and supersedes prior discussions or representations.

15. Governing Law

Governed by the laws of the State of Michigan.

16. Force Majeure Clause

Boss Motto is not responsible for delays or failure to perform due to events beyond reasonable control, including outages, natural disasters, platform failures, or government actions.

17. Indemnification Clause

Client agrees to indemnify and hold Boss Motto harmless from claims arising from Client-provided content, business activities, or third-party misuse.

18. Indemnification Clause

Boss Motto does not guarantee rankings, traffic levels, revenue growth, advertising approval, or specific business outcomes.
