Boss Motto LLC Client Agreement

1. Acceptance
By purchasing, subscribing to, or using any Boss Motto LLC (“Boss Motto”) services, Client agrees to this Client Agreement, the Website Ownership & Buy-Out Policy, and the Privacy Policy.
Use of services constitutes full acceptance of these terms.
2. Scope of Services
Boss Motto provides subscription-based and one-time digital services, including but not limited to:
Managed website services (Squarespace platform)
Google Business Profile management (“Local Boost”)
Growth Channel promotional support
Related digital business support
Specific deliverables, limits, and inclusions are defined in:
The Client’s selected plan
The Service Summary
Marketplace add-ons (if applicable)
If a requested task falls outside the agreed scope, Boss Motto will provide a separate quote before proceeding.
No work outside scope will be performed without approval.
3. Growth Channels (Defined)
Each Concierge Plan includes one (1) Growth Channel, selected by Client.
A. Visibility Stream™
Includes:
Two (2) promotional graphics per month
Posting to Client’s Google Business Profile
Caption writing
Downloadable file provided for optional self-posting on social platforms
Does NOT include:
Social media account management
Social scheduling
Social comment monitoring
Paid advertising
Business consulting
Unlimited design requests
B. Offer Spotlight™
Includes:
One (1) focused promotion per month
Homepage banner update (if applicable)
Google Business Profile posting
Call-to-action refinement
Downloadable promotional asset
Does NOT include:
Pricing strategy consulting
Revenue modeling
Funnel development
Paid advertising
Business consulting
Unlimited revisions
Growth Channel Limitations
Deliverables include up to two (2) reasonable revisions per asset.
Unused monthly deliverables do not roll over.
Additional promotional work requires separate agreement or Marketplace purchase.
4. Social Media Limitation
Boss Motto is Google-first.
Unless separately contracted in writing:
Boss Motto does NOT manage social media accounts.
Boss Motto does NOT schedule posts on third-party platforms.
Boss Motto does NOT monitor comments, messages, or engagement.
Client is responsible for managing their own social platforms.
Downloadable assets are provided for optional self-posting.
5. Service Limitations
The Concierge Plan includes foundational digital management only.
It does not include:
Full website redesigns
Advanced SEO campaigns
High-volume content production
Custom software development
Sales funnel architecture
Paid advertising management
Large-scale e-commerce operations
Strategic business consulting
Expanded services require separate agreement.
6. E-Commerce Support
Concierge support is designed for small e-commerce operations.
Product update limits are defined in the Service Summary.
Updates are processed in scheduled batches.
Large catalogs, ERP integrations, bulk imports, or enterprise inventory systems require a custom plan.
7. Advisory Limitation
Marketing presentation guidance provided by Boss Motto:
Does NOT constitute financial advice
Does NOT constitute pricing strategy consultation
Does NOT constitute legal advice
Does NOT constitute tax or accounting advice
Does NOT guarantee revenue outcomes
Client retains full responsibility for business decisions.
8. Billing & Payment Authorization
By subscribing, Client authorizes recurring billing via approved payment processors.
Subscriptions renew automatically
Partial months are not prorated
Pricing changes require 60 days’ notice
Failure to maintain valid payment may result in service suspension
Third-party platform fees, advertising budgets, domain fees, hosting outside included plan limits, and similar costs are paid directly by Client.
9. Refund & Cancellation
30-Day Guarantee (New Clients Only)
New subscription clients may cancel within 30 days for a refund of subscription fees paid.
Does not apply to:
Setup fees
One-time services
Compliance filings
Trademark filings
Advertising spend
Third-party platform costs
After 30 days:
Subscription fees are non-refundable
Partial months are not refunded
Annual plans are non-refundable
10. One-Time Services
All one-time services and setup fees are non-refundable once work has begun.
This includes:
Website builds
Branding projects
Design work
Compliance filings
Trademark coordination
Campaign projects
11. Website Ownership
Website ownership, backend access, and transfer rights are governed by the separate Website Ownership & Buy-Out Policy.
12. Communication & Request System
To maintain efficiency:
Formal work requests must be submitted through the designated request system.
Text or email may be used for communication.
Work may not begin until properly submitted through approved channels.
Response timelines apply once a request is properly submitted.
13. Third-Party Platforms
Boss Motto is not responsible for:
Platform outages
Account suspensions
Policy changes
Algorithm changes
Advertising approval
Search ranking fluctuations
Revenue outcomes
We provide oversight and management — not guarantees.
14. Confidentiality
Boss Motto treats Client information as confidential and uses it solely for service delivery.
15. Limitation of Liability
Boss Motto’s total liability shall not exceed the total amount paid by Client in the preceding three (3) months.
Boss Motto shall not be liable for:
Indirect damages
Incidental damages
Lost profits
Lost revenue
Business interruption
Data loss
16. Suspension & Termination
Services may be suspended or terminated for:
Non-payment
Violation of agreement
Abusive behavior
Fraudulent activity
Platform misuse
Outstanding balances remain due.
17. Indemnification
Client agrees to indemnify and hold Boss Motto harmless from any claims arising from:
Client-provided content
Client business activities
Copyright violations
Trademark disputes
Regulatory violations
Misuse of third-party platforms
18. No Performance Guarantee
Boss Motto does not guarantee:
Specific rankings
Traffic increases
Review volume
Revenue growth
Advertising results
Business success
Digital marketing outcomes depend on numerous external factors beyond our control.
19. Governing Law
This Agreement is governed by the laws of the State of Michigan.
20. Force Majeure
Boss Motto is not responsible for delays or failure to perform due to events beyond reasonable control, including:
Natural disasters
Internet outages
Platform failures
Government actions
Cybersecurity incidents
21. Entire Agreement
This Agreement, together with the Website Ownership Policy and Privacy Policy, constitutes the entire agreement and supersedes prior discussions or representations.
