Boss Motto LLC Client Service Agreement

This Client Service Agreement (“Agreement”) governs subscription-based, recurring, project-based, and one-time services provided by Boss Motto LLC (“Boss Motto,” “we,” “us,” or “our”) to the individual, company, organization, or other entity purchasing or receiving services (“Client,” “you,” or “your”).
By electronically signing this Agreement or otherwise expressly accepting it through an authorized Boss Motto acceptance process, the Client agrees to these terms.
1. Agreement and Acceptance
This Agreement, together with the documents specifically applicable to the Client’s services, forms the agreement between Boss Motto and the Client.
Applicable service documents may include:
The Client’s Service Summary;
A selected Boss Motto service plan;
An approved proposal, estimate, or statement of work;
An invoice or payment authorization;
The Website Ownership & Service Options Policy;
A project-specific agreement;
Approved add-ons or additional-service authorizations; and
Other written terms expressly agreed to by Boss Motto and the Client.
Acceptance may occur through:
Electronic signature;
An electronic acceptance checkbox;
Approval of a proposal or Service Summary;
Enrollment through an authorized Boss Motto checkout process; or
Another method expressly designated by Boss Motto for accepting this Agreement.
The person accepting this Agreement represents that they have authority to enter into this Agreement on behalf of the Client.
2. Boss Motto’s Service Model
Boss Motto operates as a Digital Concierge for Business Owners.
Boss Motto provides ongoing management and coordination of selected digital-business needs so Clients do not have to personally manage multiple digital platforms, vendors, updates, and promotional responsibilities.
Depending on the Client’s selected plan or project, Boss Motto services may include:
Managed business websites;
Website maintenance and routine updates;
Google Business Profile management;
Google Business Profile posts;
Review monitoring and response assistance;
Promotional graphics;
Digital visibility support;
Light e-commerce maintenance;
Digital-business support and coordination;
POS, membership, scheduling, ordering, payment, and other system projects;
Short-form video editing using Client-provided footage;
Printing and physical promotional materials;
Website and branding projects; and
Other digital-business services approved in writing.
Boss Motto’s recurring plans are managed-service relationships and are not unlimited-labor arrangements.
Boss Motto is an independent contractor and is not the Client’s employee, partner, joint venturer, franchisee, fiduciary, or legal representative.
Boss Motto may provide recommendations and coordinate digital-business matters but is not authorized to make legal, financial, contractual, employment, or other material business commitments on the Client’s behalf unless specifically authorized in writing for a particular administrative action.
3. Service Scope
The Client’s specific services, deliverables, pricing, and service level are determined by the Client’s:
Selected service plan;
Service Summary;
Approved proposal;
Invoice;
Written project scope;
Approved add-on; or
Other written authorization.
Boss Motto is responsible only for services reasonably included within the applicable scope.
A recurring service plan covers ongoing management and routine work appropriate to that plan. It does not automatically include substantial creation, implementation, expansion, redesign, or transformation of the Client’s digital systems.
Work outside the normal scope may require:
A separately quoted project;
An add-on;
Additional payment;
A revised proposal;
A higher service level; or
A separate agreement.
Boss Motto will obtain Client approval before intentionally performing separately billable work.
4. Boss Motto Concierge
Boss Motto Concierge is designed for businesses that need dependable ongoing digital management without frequent weekly content changes.
Unless otherwise stated in the Client’s Service Summary, Concierge may include the following.
Website Management
Routine updates to existing website text, photos, hours, prices, and service information;
Promotions, announcements, and event information;
Mobile and functionality checks;
Basic troubleshooting;
General website support; and
Ongoing care of the existing website.
Google & Reputation Management
Google Business Profile monitoring;
Routine updates to hours, contact information, services, and other profile information;
Up to two Google Business Profile posts per monthly service cycle; and
Professional responses to normal monthly review volume when Boss Motto has appropriate authorization.
Marketing Content
Up to two promotional graphics per monthly service cycle;
Graphics for specials, events, announcements, or seasonal promotions;
One reasonable revision per included graphic; and
Digital files prepared for appropriate online use.
Dedicated Support
Text, email, and phone support through approved Boss Motto channels;
Typical 3–5 business-day turnaround for routine requests;
Quarterly Digital Visibility Review when applicable; and
Practical recommendations relating to the Client’s managed digital presence.
Concierge is intended for businesses whose website and promotional information require routine or occasional updates rather than frequent weekly management.
5. Boss Motto Concierge Plus
Boss Motto Concierge Plus is designed for active businesses whose promotions, events, menus, schedules, products, programs, services, or website information change regularly throughout the month.
Unless otherwise stated in the Client’s Service Summary, Concierge Plus includes the core services of Concierge together with expanded service capacity.
Frequent Website Management
Frequent routine updates to existing website content;
Recurring event, schedule, menu, and promotional updates;
Ongoing management of existing pages and sections; and
Seasonal and time-sensitive content coordination.
More Active Google Management
Up to four Google Business Profile posts per monthly service cycle;
Business information and photo updates;
Professional responses to normal monthly review volume; and
Priority handling of time-sensitive profile changes.
Expanded Marketing Content
Up to four promotional graphics per monthly service cycle;
Appropriate versions for Google, Facebook, Instagram, website, or flyer use;
One reasonable revision per included graphic; and
Ongoing promotional-content coordination.
Active Business Support
Light e-commerce product and service listing maintenance;
Routine price, description, image, and availability updates;
Event, menu, class, league, program, and schedule updates; and
Typical priority turnaround of 2–3 business days for routine requests.
Concierge Plus does not provide unlimited website changes, unlimited product management, unlimited content creation, unlimited design work, or unlimited labor.
6. Monthly Deliverables and Reasonable Use
Included monthly deliverables are available during the applicable service cycle.
Unless Boss Motto agrees otherwise in writing:
Unused monthly graphics do not roll over;
Unused Google posts do not roll over;
Unused service capacity does not accumulate;
Unused deliverables do not convert to cash or account credit; and
Monthly service fees pay for access to ongoing management and service capacity during the billing period, not solely for the number of requests submitted.
Boss Motto applies reasonable professional judgment when determining whether a Client request is routine plan work or a separate project.
Boss Motto intends to handle ordinary small requests without unnecessary additional charges.
However, recurring plans are not intended to provide unlimited labor or substitute for substantial project work.
7. Routine Website Work vs. Project Work
Routine website work may include:
Text corrections;
Replacing existing photographs;
Updating business hours;
Updating contact information;
Updating existing prices or services;
Updating existing promotions;
Updating existing events;
Adding reasonable content to an existing section;
Minor layout adjustments;
Correcting broken links;
Correcting forms or display issues; and
Other comparable maintenance of existing content.
Work that may be treated as a separately quoted project includes:
New pages;
Major new website sections;
Multi-page redesigns;
Major homepage rebuilds;
New websites;
New online stores;
Large product uploads;
Large menu rebuilds;
Major catalog work;
Custom functionality;
Advanced forms;
Membership systems;
Booking systems;
Advanced integrations;
High-volume content entry;
Major copywriting projects;
Advanced automation;
Significant branding projects; and
Work that materially changes the original website structure or scope.
Boss Motto will use reasonable professional judgment when classifying work.
Occasional work outside a Client’s plan may be separately quoted without automatically requiring the Client to permanently upgrade plans.
When a Client’s ongoing needs consistently exceed the normal service level of the selected plan, Boss Motto may recommend or require movement to an appropriate higher service level for continued recurring support.
8. Promotional Graphics
Included promotional graphics are intended for normal business promotions such as:
Specials;
Events;
Announcements;
Programs;
Seasonal promotions;
Offers; and
Similar business communications.
Each included promotional graphic includes one reasonable revision.
A reasonable revision means a modification to the originally requested design and does not include:
A completely new design concept;
A substantially different promotion;
A new creative direction;
Replacing the original request with a different project;
Major redesign after approval; or
Additional work caused by materially incorrect or incomplete Client instructions.
Reasonable resizing of one approved design for common digital platforms may be treated as part of the same promotional graphic when practical.
A substantially different design or promotional concept may count as an additional graphic or separately quoted work.
9. Google Business Profile and Review Services
Boss Motto may assist with monitoring, updating, posting to, and managing the Client’s Google Business Profile.
Services may include:
Updating business information;
Updating hours;
Updating services;
Updating photographs;
Posting approved promotional content;
Monitoring reviews;
Preparing or publishing review responses when authorized;
Coordinating requested profile changes; and
Assisting with verification or reinstatement matters.
Boss Motto does not own or control Google.
Boss Motto does not guarantee:
Profile approval;
Verification;
Reinstatement;
Search ranking;
Map placement;
Review volume;
Removal of a review;
Removal of a suspension;
Specific traffic;
Customer activity; or
Any particular Google result.
Google may independently modify, restrict, reject, suspend, or remove profiles or content.
Boss Motto may assist with these matters but cannot guarantee their resolution.
10. Social Media Services
Boss Motto’s standard recurring plans do not include full social-media management unless specifically added in writing.
Unless separately agreed, Boss Motto does not provide:
Daily social posting;
Full account management;
Social-media scheduling calendars;
Direct-message monitoring;
Comment management;
Community management;
Live social customer service;
Influencer management;
Social listening; or
Paid social advertising management.
Boss Motto may create social-ready graphics and promotional material for the Client to post independently.
Boss Motto may occasionally assist with posting or coordination when expressly agreed, but occasional assistance does not create an ongoing obligation to manage the Client’s social accounts.
11. E-Commerce Support
Light e-commerce support may be provided under Concierge Plus or another written service arrangement.
Routine support may include reasonable updates to existing:
Product prices;
Product descriptions;
Product images;
Availability;
Services;
Categories; and
Similar listing information.
Concierge Plus is not intended for continuous inventory management, high-volume product entry, large catalog uploads, fulfillment operations, or enterprise inventory administration.
Large catalogs, bulk imports, advanced inventory synchronization, ERP systems, complex integrations, or high-volume product maintenance require separate scope and pricing.
The Client remains responsible for providing accurate product and inventory information.
Boss Motto does not physically count, inspect, warehouse, package, fulfill, or ship Client inventory.
Boss Motto is not responsible for inventory discrepancies, fulfillment problems, shipping errors, returns, chargebacks, product defects, or third-party e-commerce platform failures outside Boss Motto’s reasonable control.
12. POS, Membership, Ordering, Payment and Business Systems
Boss Motto may provide separate project services involving:
Point-of-sale systems;
Membership programs;
Online ordering;
QR systems;
Scheduling platforms;
Payment systems;
Customer-management tools; and
Third-party integrations.
Unless expressly included in the Client’s recurring plan, the initial setup, migration, implementation, redesign, or major reconfiguration of these systems is project work and may require separate payment.
Boss Motto may assist with third-party platforms but does not control their approval processes, availability, pricing, policies, or functionality.
13. Short-Form Video Editing
Short-form video editing is not included in a recurring plan unless expressly stated.
When Boss Motto provides video-editing services, the Client generally supplies:
Raw video footage;
Photographs;
Logos;
Music or audio that the Client has permission to use; and
Necessary instructions.
Unless separately quoted, Boss Motto does not provide:
On-site filming;
Professional videography;
Photography sessions;
Actors or talent;
Location production; or
Professional audio recording.
The Client is responsible for obtaining appropriate permission to use all supplied footage, audio, images, likenesses, trademarks, and other materials.
14. Printing and Physical Materials
Boss Motto may provide design, printing, display materials, promotional materials, and related physical products.
Printing, shipping, delivery, holders, specialty paper, hardware, postage, and other physical or third-party costs are not included in recurring plan pricing unless expressly stated.
Printing and physical-product orders may require separate approval and payment.
Because customized printing and physical materials may not be reusable, such orders may become non-cancelable and non-refundable after production or ordering begins.
15. Client Responsibilities
The Client agrees to:
Provide accurate business information;
Provide requested content and materials;
Provide required account access;
Respond to questions and approval requests within a reasonable period;
Review work for accuracy;
Notify Boss Motto promptly of errors or required changes;
Maintain lawful business operations;
Obtain required licenses, releases, and permissions;
Protect account credentials;
Comply with third-party platform rules;
Make timely payments; and
Maintain copies of important original business records and source materials.
The Client remains responsible for final accuracy and approval of Client-specific information including:
Prices;
Promotions;
Product information;
Business claims;
Legal disclosures;
Hours;
Addresses;
Contact information;
Menus;
Inventory information;
Business policies; and
Other factual business information.
Boss Motto may reasonably rely on information provided or approved by the Client.
16. Client-Provided Content and Property
The Client retains ownership of original materials the Client supplies to Boss Motto.
Client property may include:
Logos;
Business names;
Trademarks;
Photographs;
Videos;
Written material;
Menus;
Product information;
Customer information; and
Other Client-owned assets.
The Client represents that it owns or has permission to use materials supplied to Boss Motto.
The Client is responsible for obtaining required copyrights, trademark permissions, music licenses, model releases, privacy permissions, and other necessary authorizations.
Boss Motto may refuse to use material it reasonably believes is unlawful, misleading, infringing, defamatory, discriminatory, unsafe, or prohibited by a third-party platform.
17. Communication and Service Requests
Clients may communicate with Boss Motto through approved channels, which may include:
Boss Motto’s client portal or Concierge Hub;
Email;
Text message;
Telephone; and
Other approved channels.
Boss Motto may require larger, sensitive, complex, ownership-related, or separately billable requests to be confirmed through:
Email;
The client portal;
A proposal;
An invoice;
Written authorization; or
A signed agreement.
Turnaround begins after Boss Motto has received the information, files, access, approvals, and payment reasonably required to complete the request.
18. Turnaround Times
Typical routine-request turnaround is:
Concierge: approximately 3–5 business days;
Concierge Plus: approximately 2–3 business days.
These are service targets rather than guaranteed completion deadlines.
A request may require additional time because of:
Complexity;
Size of the request;
Current work volume;
Client delays;
Missing information;
Delayed approval;
Third-party platform requirements;
Vendor delays;
Technical issues;
Holidays;
Emergencies;
Significant changes in scope; or
Circumstances outside Boss Motto’s reasonable control.
Acknowledgment of a request does not mean the request will be completed immediately.
19. Revisions and Approvals
Boss Motto may establish reasonable revision limits for designs, website work, projects, and other deliverables.
Unless otherwise stated, included promotional graphics receive one reasonable revision.
Project-specific revision allowances may be stated in the applicable proposal or scope.
Revisions must remain reasonably consistent with the originally approved request.
When the Client approves a design, page, post, listing, or other deliverable, Boss Motto may treat that approval as final.
Changes requested after final approval may be treated as new work.
20. Recurring Billing Authorization
By enrolling in recurring Boss Motto services, the Client authorizes Boss Motto and its authorized payment processor to charge the payment method provided for the selected recurring service.
Recurring plans renew automatically according to the billing frequency selected by the Client until canceled.
The Client agrees to maintain a valid payment method.
Approved additional services, projects, physical products, third-party expenses, or other charges may be separately invoiced or charged when specifically authorized.
21. Pricing and Payment Terms
Unless otherwise stated:
Subscription payments are due in advance;
Monthly services are billed monthly;
Annual prepaid services are billed according to the selected annual offer;
Services remain subject to the terms applicable to the purchased billing option;
Partial billing periods are not prorated;
Unused monthly service capacity is not credited;
Unused monthly deliverables do not roll over; and
Third-party expenses may require advance payment.
Boss Motto may change pricing for future billing periods by providing reasonable advance notice to affected Clients.
Pricing changes do not retroactively change amounts already paid.
22. Refund Policy
Except where required by applicable law or expressly approved by Boss Motto in writing, payments are non-refundable once charged.
This includes recurring service payments, project payments, setup charges, design work, printing, third-party expenses, domain-related expenses, deposits, and other approved services.
Boss Motto does not ordinarily provide refunds for:
Partial months;
Unused service time;
Unused requests;
Unused monthly graphics or posts;
A Client’s change of mind;
A Client closing or pausing its business;
Client delays;
Client failure to provide materials;
Cancellation after the billing period has begun;
Results that Boss Motto did not guarantee; or
Actions or failures of third-party platforms.
Boss Motto may voluntarily provide a credit, refund, or accommodation in an individual situation.
A voluntary accommodation does not change this policy or create an ongoing obligation.
23. Cancellation of Recurring Services
Boss Motto recurring services do not require a long-term service commitment unless a separate written agreement expressly says otherwise.
Clients may cancel recurring service by providing written notice through:
The Boss Motto client portal or Concierge Hub; or
Another cancellation method expressly provided by Boss Motto.
Cancellation generally becomes effective at the end of the Client’s current paid service period.
For monthly plans, cancellation stops future monthly renewal charges after the effective cancellation date.
For prepaid annual service, cancellation prevents a future annual renewal but does not ordinarily result in a refund of the unused portion of the already-paid annual service period.
After cancellation:
New recurring charges for future periods will cease;
Included recurring services end at the end of the applicable paid service period;
Unused monthly deliverables expire;
Website management ends;
Google Business Profile management ends;
Review-management services end;
Promotional services end; and
Website and domain handling will follow this Agreement and the Website Ownership & Service Options Policy.
The Client should submit cancellation before the next scheduled billing date.
Canceling a payment card, blocking a charge, or initiating a payment dispute does not by itself constitute proper cancellation of service.
24. Late Payments and Service Suspension
If payment fails or becomes past due, Boss Motto may reasonably:
Pause new work;
Suspend recurring services;
Suspend website updates;
Suspend Google management;
Suspend promotional work;
Restrict portal access;
Decline new requests;
Suspend or unpublish a Boss Motto-owned managed website;
Disconnect services under Boss Motto’s control; or
Terminate service.
Outstanding balances remain due.
Boss Motto is not responsible for business losses arising from a suspension caused by the Client’s failure to pay amounts due.
Before restoring service, Boss Motto may require:
Payment of outstanding balances;
Updated payment information;
Payment of applicable reactivation costs;
A new agreement; or
Re-enrollment at then-current pricing.
25. Chargebacks and Payment Disputes
The Client agrees to contact Boss Motto in good faith regarding a billing concern before initiating a chargeback when reasonably possible.
A chargeback does not eliminate an otherwise valid contractual payment obligation.
Boss Motto may provide relevant records to payment processors or financial institutions when responding to a payment dispute, including:
This Agreement;
Service summaries;
Invoices;
Payment authorizations;
Communications;
Client approvals;
Service records; and
Relevant account records.
Fraudulent or abusive payment disputes may result in suspension, termination, collection activity, or refusal of future service.
26. Managed Website Model
When a professionally built Boss Motto website is expressly included as part of a qualifying Concierge relationship, the website is provided under Boss Motto’s managed website model.
The Client’s recurring payment is compensation for the overall Concierge service relationship.
Recurring payments are not installment payments toward the purchase of a website.
Unless a separate written agreement provides otherwise, a Boss Motto-built managed website remains Boss Motto property during the first 24 consecutive months of active qualifying Concierge service.
The Client receives the right to use the managed website for the Client’s business while the applicable service remains active and in good standing.
Client-owned domains, trademarks, original Client content, and Client-provided assets remain the Client’s property.
27. Website Ownership Loyalty Benefit
After completing 24 consecutive months of active qualifying Concierge service, a Client with a qualifying Boss Motto-built managed website becomes eligible to request ownership of the completed Client-specific website as a loyalty benefit.
This ownership benefit is not installment financing and does not mean that monthly Concierge payments were made toward the purchase price of the website.
Eligibility requires:
24 consecutive months of qualifying active service;
The account to be in good standing;
All outstanding amounts to be paid; and
Completion of any reasonable ownership-transfer steps required by Boss Motto or the applicable website platform.
Website ownership transfer does not automatically include Boss Motto proprietary systems, reusable code, reusable templates, internal processes, licensed assets, software, tools, or intellectual property that Boss Motto does not have the right or intention to transfer.
Third-party subscriptions, platform charges, premium software, domain costs, and other continuing expenses remain the Client’s responsibility after transfer.
28. Cancellation Before 24 Months and Early Website Transfer
If a Client cancels qualifying Concierge service before completing 24 consecutive months, the Client does not automatically receive ownership of the Boss Motto-built managed website.
Boss Motto may suspend or unpublish the Boss Motto-owned website after the applicable paid service period ends.
The Client may request an Early Website Transfer.
Early transfer is not guaranteed.
Boss Motto may determine whether an early transfer is technically, contractually, and commercially available.
When available, Boss Motto will provide a separate transfer or buyout quote based on factors that may include:
Website scope;
Website complexity;
Amount of custom development;
Age of the website;
Remaining development value;
Required migration or transfer work;
Third-party licensing; and
Other reasonable transfer requirements.
The Client is never required to purchase an early website transfer merely because Concierge service is canceled.
29. Traditional Website Projects
Boss Motto may separately offer traditional one-time website projects to businesses that prefer to purchase a website independently of a Concierge relationship.
The applicable proposal or project agreement will establish:
Project price;
Deposit;
Included pages;
Included revisions;
Ownership terms;
Timeline;
Platform expenses;
Maintenance options; and
Transfer terms.
Traditional website projects are separate from the 24-month managed website loyalty model unless expressly stated otherwise.
30. Domain Ownership
A Client-owned or Client-purchased domain remains the Client’s property.
When Boss Motto purchases, registers, renews, or technically manages a domain on the Client’s behalf, Boss Motto may act as an administrative or technical manager, but the underlying Client-specific domain is intended for the Client’s business.
Upon proper termination of the relationship, payment of any amounts legitimately due for the domain, and completion of applicable registrar requirements, Boss Motto will reasonably cooperate with transferring control of the Client’s domain.
The Client understands that:
A domain and a website are separate assets;
Transfer of a domain does not automatically transfer a Boss Motto-owned website;
Registrars may impose waiting periods, transfer locks, verification requirements, or other restrictions; and
Boss Motto does not control registrar policies.
31. Boss Motto Intellectual Property
Boss Motto retains ownership of its proprietary and reusable materials, including:
Processes;
Methods;
Systems;
Templates;
Frameworks;
Service names;
Internal tools;
Workflows;
Documentation;
Know-how;
Reusable code;
Reusable design components;
Reusable automations;
Internal operating systems; and
Other Boss Motto intellectual property.
A Client’s receipt of website ownership or another completed deliverable does not transfer Boss Motto’s general business systems or reusable intellectual property.
Where Boss Motto proprietary elements are embedded within transferred work, Boss Motto may retain ownership while granting the Client a reasonable continuing license necessary to use the completed Client deliverable, when appropriate.
32. Third-Party and Licensed Assets
Boss Motto may use third-party products or services such as:
Squarespace;
Shopify;
Google;
Domain registrars;
Google Workspace;
Toast;
Stripe;
Payment providers;
Scheduling platforms;
Plugins;
Fonts;
Stock photography;
Licensed graphics;
Software;
APIs; and
Other integrations.
Third-party materials remain subject to their respective terms and licenses.
Boss Motto cannot transfer rights that Boss Motto does not own.
The Client may be required to purchase or maintain its own third-party subscription or license after a website or system transfer.
33. Third-Party Platform Risks
Boss Motto does not own or control third-party platforms.
Boss Motto is not responsible for third-party:
Outages;
Security incidents;
Verification requirements;
Suspensions;
Account restrictions;
Policy changes;
Pricing changes;
Algorithm changes;
Removed features;
Transfer locks;
Payment holds;
Account reserves;
Integration failures;
Platform discontinuation;
Search-ranking changes; or
Other actions outside Boss Motto’s reasonable control.
Boss Motto may assist the Client with third-party issues but does not guarantee resolution.
34. No Performance Guarantee
Boss Motto does not guarantee:
Search rankings;
First-page Google placement;
Traffic increases;
Lead volume;
Review volume;
Social-media growth;
Sales;
Revenue;
Profitability;
Conversion rates;
Customer acquisition;
Google verification;
Google reinstatement;
Platform approval;
Advertising performance; or
Overall business success.
Boss Motto provides management, implementation, coordination, creative services, and professional recommendations.
Business results depend on numerous factors outside Boss Motto’s control.
35. Professional, Legal, Financial and Compliance Limitations
Boss Motto provides digital-business services and operational support.
Boss Motto does not provide legal, tax, accounting, investment, insurance, or other regulated professional advice.
Any general business guidance or digital recommendation provided by Boss Motto should not be treated as legal, accounting, tax, financial, regulatory, or professional advice requiring a specialized license.
The Client remains responsible for obtaining qualified professional advice when appropriate.
36. Confidentiality
Boss Motto will use reasonable care in handling confidential Client information.
Boss Motto may provide necessary information to employees, contractors, vendors, platform providers, payment processors, or other service providers when reasonably necessary to perform the Client’s services.
Confidentiality obligations do not apply to information that:
Is publicly available;
Was already lawfully known;
Is independently developed;
Is lawfully received from another source; or
Must be disclosed by law.
37. Account Credentials and Security
The Client is responsible for maintaining appropriate security for accounts and credentials under the Client’s control.
Boss Motto may retain or use credentials reasonably necessary to perform authorized services.
Both parties agree to take reasonable precautions when sharing passwords, login credentials, security codes, payment information, or sensitive business information.
Boss Motto is not responsible for unauthorized access resulting from compromised Client devices, Client-disclosed passwords, phishing, third-party security breaches, or other circumstances outside Boss Motto’s reasonable control.
38. Portfolio and Case-Study Use
Unless the Client requests confidentiality in writing before publication, Boss Motto may identify the Client as a Boss Motto customer and display non-confidential, publicly available portions of completed work for:
Portfolio use;
Case studies;
Demonstrations;
Social media;
Proposals;
Sales materials; and
Other Boss Motto marketing.
Boss Motto will not intentionally disclose confidential Client information as part of such use.
39. Suspension or Termination by Boss Motto
Boss Motto may suspend or terminate services for reasons including:
Nonpayment;
Repeated failed payments;
Material breach of this Agreement;
Fraud;
Illegal activity;
Platform abuse;
Intellectual-property violations;
Abusive, threatening, discriminatory, or harassing conduct;
Excessive security or legal risk;
Repeated misuse of plan scope;
Persistent failure to cooperate;
Material interference with Boss Motto’s ability to perform services; or
A business relationship that is no longer commercially or professionally workable.
When reasonably appropriate, Boss Motto will attempt to provide notice before termination.
Upon termination:
Services end;
Outstanding amounts remain due;
Refund rights remain governed by this Agreement;
Website and domain handling follows the applicable ownership provisions; and
Boss Motto may restrict access to systems it owns or administers.
40. Indemnification
To the extent permitted by applicable law, the Client agrees to indemnify and hold harmless Boss Motto LLC and its owners, employees, contractors, and agents from third-party claims, damages, liabilities, losses, penalties, and reasonable legal expenses arising from or relating to:
Client-provided content;
The Client’s products or services;
False or misleading Client information;
Copyright or trademark infringement caused by Client-supplied material;
Privacy violations caused by Client instructions or Client data;
Regulatory violations relating to the Client’s business;
Product claims;
Customer disputes;
Inventory or fulfillment matters;
Client tax obligations;
Misuse of third-party platforms; or
The Client’s material breach of this Agreement.
This section does not require the Client to indemnify Boss Motto for claims caused solely by Boss Motto’s own conduct where such indemnification would be prohibited by law.
41. Limitation of Liability
To the maximum extent permitted by applicable law, Boss Motto’s total aggregate liability arising from or relating to the services will not exceed the amount actually paid by the Client to Boss Motto during the three months immediately preceding the event giving rise to the claim.
To the maximum extent permitted by law, Boss Motto will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including:
Lost profits;
Lost revenue;
Lost customers;
Lost opportunities;
Business interruption;
Loss of goodwill;
Data loss;
Search-ranking loss;
Platform suspension;
Third-party action;
Domain restrictions;
Payment-processor action;
Inventory discrepancies; or
Unauthorized account access outside Boss Motto’s reasonable control.
Nothing in this Agreement limits liability that applicable law does not permit the parties to limit.
42. Force Majeure
Boss Motto is not responsible for delay or failure caused by circumstances beyond its reasonable control, including:
Natural disasters;
Severe weather;
Fire;
Flood;
War;
Civil unrest;
Labor interruption;
Internet outages;
Electrical outages;
Government actions;
Cybersecurity events;
Public-health emergencies;
Third-party platform failures;
Vendor failures;
Registrar failures; or
Payment-processing interruptions.
Boss Motto will resume affected services as reasonably practical.
43. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Michigan, without regard to conflict-of-law principles.
Before filing legal action, the parties agree to make a reasonable good-faith attempt to resolve the dispute through written communication.
Unless applicable law requires otherwise or the parties mutually agree otherwise in writing, legal actions arising from this Agreement will be brought in a court of competent jurisdiction in Michigan.
44. Assignment
The Client may not transfer or assign this Agreement without Boss Motto’s written consent.
Boss Motto may assign this Agreement in connection with a merger, acquisition, reorganization, sale of substantially all relevant business assets, or transfer to a successor business.
Boss Motto may also use employees, subcontractors, or qualified service providers to perform portions of the services while remaining responsible for managing the Client relationship.
45. Severability and Waiver
If any provision of this Agreement is determined to be unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.
Failure to enforce a provision on one occasion does not waive the right to enforce it later.
Any material waiver must be in writing.
46. Entire Agreement and Order of Precedence
This Agreement and applicable service documents constitute the agreement governing Boss Motto’s services to the Client.
If applicable documents materially conflict, the following order of precedence generally applies:
A specifically negotiated and signed custom agreement;
A signed Service Summary, project agreement, or proposal;
This Client Service Agreement;
The Website Ownership & Service Options Policy;
An applicable approved invoice or add-on description, except where the invoice specifically modifies scope;
General Boss Motto website descriptions, FAQs, or promotional materials.
A specifically negotiated written term controls over a general term concerning the same subject.
47. Agreement Updates
Boss Motto may update its standard agreement for future services to reflect changes in:
Services;
Technology;
Business operations;
Third-party requirements;
Pricing structure; or
Legal and regulatory requirements.
The current standard version may be posted on Boss Motto’s website with a revised “Last Updated” date.
A material change to an active Client’s existing recurring service terms will be communicated within a reasonable period before the change is intended to apply.
Changes will not retroactively alter a completed one-time transaction unless required by law or mutually agreed.
48. Electronic Records and Signatures
The parties agree that this Agreement and related service documents may be created, delivered, accepted, and retained electronically.
Electronic signatures, electronic acceptance records, and electronic copies may be used as evidence of the parties’ agreement to the extent permitted by applicable law.
The Client agrees to maintain a current email address or other reliable electronic contact method with Boss Motto.
