Welcome to Boss Motto LLC (“Boss Motto,” “we,” or “our”).
By subscribing to any plan or purchasing a service through our website, portal, or marketplace, you (“Client,” “you,” or “your”) agree to the terms outlined below.

1. Scope of Services

Boss Motto provides digital and business support services designed to help small and local businesses manage their online presence and operations efficiently.
Our services include, but are not limited to:

Core Concierge & Ongoing Services

  • Website Services – Design, setup, hosting, and ongoing management (typically via Squarespace).

  • Google Business Profile Setup & Management (Local Boost™) – Claiming, optimizing, and maintaining your Google Business Profile.

  • Review Shield™ – Monitoring, drafting, and responding to public reviews.

  • Digital Concierge Support – Direct communication and service management via the Client Portal.

Marketplace Add-Ons & One-Time Services

Optional services available through the Boss Motto Marketplace may include:

Brand & Identity

  • Logo & Brand Kit – Professional logo, color palette, fonts, and brand sheet.

  • Trademark Assistance – USPTO filing coordination, monitoring, and updates through a registered agent partner.

Compliance

  • Business Formation (LLC / EIN) – Coordinated state filings and EIN setup via a trusted registered agent partner.

  • Tax Ease™ – Filing & Compliance – Annual report filing, tax prep coordination, and CPA partnership support.

Marketing Collateral

  • Promo Post / Flyer Request – Custom graphics or print-ready flyers for events, promos, and announcements.

  • Monthly Promo Graphics Pack – Ready-to-post social graphics matched to your brand (Single Request or Mini Campaign options).

Creative On-Demand

  • Custom Design Request – One-off graphic design or print projects (menus, banners, social assets, etc.).

Future Add-Ons: Boss Motto may introduce additional marketplace products and subscription services. By continuing to use the portal or make purchases, you acknowledge these terms extend to any newly introduced offerings.

2. Client Responsibilities

Clients agree to:

  • Provide timely feedback, materials, and approvals required to complete services.

  • Maintain active payment methods for all subscriptions and platform fees.

  • Comply with third-party platform terms (e.g., Google, Squarespace, Stripe, etc.) when Boss Motto acts on your behalf.

  • Grant Boss Motto limited access (e.g., administrator or delegate) where necessary to perform services.

  • Understand that account ownership and intellectual property ultimately remain with the client upon full payment.

3. Billing & Authorization

  • By subscribing or purchasing, you authorize recurring or one-time charges via Stripe or other approved payment processors.

  • Subscriptions renew automatically unless canceled 30 days prior to the next billing date.

  • Refunds are not issued for partial billing cycles or completed one-time services.

  • Any pricing adjustments will be communicated at least 60 days in advance.

4. Client Portal Access & Use

Clients may be granted access to the secure Boss Motto Client Portal for communication, project management, and file sharing.

Acceptable Use:

You agree not to:

  • Share login credentials with unauthorized users.

  • Upload illegal, harmful, or infringing content.

  • Use the portal for spam, malware, or disruptive activity.

Violation may result in suspension of access or service termination.

5. File Ownership & Content Rights

  • Files and materials provided by the client remain the client’s property.

  • Materials created by Boss Motto are licensed for your business use upon full payment.

  • Third-party assets (fonts, stock photos, software) remain under their respective licenses.

6. Service Changes & Termination

Boss Motto reserves the right to modify, expand, or discontinue services.
Either party may terminate an agreement with written notice.
Outstanding balances remain due for the current billing cycle.

Upon cancellation:

  • Client Portal access will be revoked unless otherwise agreed.

  • Files or deliverables may be exported or transferred upon request.

7. Third-Party Platforms & Partners

Boss Motto collaborates with trusted partners and technology providers such as:

  • Google (Workspace, Business Profile)

  • Squarespace

  • Stripe

  • Northwest Registered Agent

  • CPA and compliance professionals (for Tax Ease™ services)

By engaging Boss Motto, you agree to the terms and data-handling policies of these providers.
Boss Motto is not responsible for downtime, system changes, or limitations imposed by third parties.

8. Confidentiality

Boss Motto treats all client information, account data, and materials as confidential.
We will not share your information with outside parties except to fulfill service needs or comply with legal requirements.

9. Limitation of Liability

Boss Motto LLC is not liable for indirect, incidental, or consequential damages resulting from the use or inability to use our services.
Total liability shall not exceed the amount paid in the previous three (3) months of service.

10. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict of law principles.

11. Acceptance of Terms

By completing checkout, accessing your Client Portal, or engaging Boss Motto for services, you acknowledge that you have read, understood, and agree to this Agreement.

If you do not agree, please refrain from purchasing or subscribing.

Client Portal Terms of Service

1. Portal Access

  • Clients may be provided with access to a secure online Client Portal for communication, project management, and file exchange. Access is granted solely to the client or their authorized representatives.

2. Acceptable Use

  • By using the Client Portal, you agree not to:

  • Share login credentials with unauthorized parties

  • Upload illegal, harmful, or infringing content

  • Use the portal for spam, malware, or malicious activity

  • Attempt to breach security or access data not assigned to you

  • Violation of these terms may result in suspension of your account or service termination.

3. File Sharing & Ownership

  • Files you upload remain your property.

  • By submitting content, you grant Boss Motto LLC a license to use materials solely for fulfilling our service agreement.

  • Uploaded content must be original, licensed, or properly authorized.

4. Communication

  • Service updates, change requests, and deliverables should be submitted through the Client Portal unless otherwise arranged.

  • Boss Motto aims to respond to requests within a reasonable timeframe, typically 1–3 business days.

5. Technical Support

  • Portal access and functionality are supported Monday–Friday during business hours.

6. Termination of Access

  • Portal access is tied to your active subscription.

  • If your subscription ends or is terminated, access will be revoked unless otherwise agreed.
