This Client Agreement (“Agreement”) governs all services provided by Boss Motto LLC (“Boss Motto,” “we,” “us”) to you (“Client,” “you”). By purchasing, subscribing, or accessing services through our website, client portal, or marketplace, you agree to the terms below.
This Agreement supplements and incorporates the Boss Motto Terms of Service, Refund & Cancellation Policy, and Website Ownership & Buyout Policy.
1. Scope of Services
Boss Motto provides subscription-based and one-time digital services designed to support small and local businesses. Services may include, but are not limited to, the following:
Core Concierge & Ongoing Services
Website design, setup, hosting, and maintenance (typically via Squarespace)
Google Business Profile setup, optimization, and ongoing management (Local Boost™)
Monthly insight and activity summaries delivered through the Client Portal
Digital concierge support via the Boss Motto Client Portal
One (1) Growth Channel selected by the Client, managed as part of the Concierge Plan
Available Growth Channel options may include:
Review Shield™ (review monitoring and alerts)
YouTube Ads (oversight only; Client-funded ad spend)
Social Posting (lite, non-daily cadence)
The included Growth Channel is limited to one active channel at a time unless additional channels are purchased as add-ons.
Marketplace Add-Ons & One-Time Services
Optional services may include:
Additional Growth Channels
Review reply drafting and management
Logo and brand identity packages
Trademark filing coordination through third-party partners
Business formation and compliance filings
Annual compliance and tax coordination services
Marketing graphics, flyers, and promotional materials
Custom design or print-ready creative requests
Boss Motto may introduce new services or products. Continued use of services constitutes acceptance of this Agreement as it applies to new offerings.
2. Client Responsibilities
Client agrees to:
Provide accurate, complete, and timely content, approvals, and access credentials
Maintain valid payment methods for all subscriptions and services
Comply with third-party platform terms where Boss Motto acts on Client’s behalf
Grant limited administrative or delegate access as reasonably required to perform services
Delays caused by missing materials, non-responsiveness, or restricted access do not constitute a breach by Boss Motto.
3. Billing, Authorization & Renewals
By purchasing or subscribing, Client authorizes Boss Motto to charge applicable fees via approved payment processors.
Subscriptions renew automatically unless canceled in accordance with the Refund & Cancellation Policy
One-time services and setup fees are non-refundable once work begins
Partial billing cycles are not prorated
Pricing changes will be communicated with at least sixty (60) days’ notice
Advertising & Third-Party Spend:
Any advertising budgets (including Google Ads / YouTube Ads) are paid directly by the Client to the advertising platform and are not included in Boss Motto subscription fees.
4. Client Portal Access & Acceptable Use
Boss Motto may provide access to a secure Client Portal for communication, files, and service management.
Client agrees not to:
Share login credentials with unauthorized users
Upload unlawful, infringing, or malicious content
Use the portal for spam, abuse, or system interference
Violation may result in suspension or termination of portal access or services.
5. File Ownership & Usage Rights
Client retains ownership of materials they provide.
Materials created by Boss Motto are licensed for Client’s business use during an active subscription or after full payment.
Third-party assets remain subject to their respective licenses.
Website ownership, backend access, and transfer rights are governed by the Website Ownership & Buyout Policy.
6. Service Modifications & Termination
Boss Motto may modify, replace, or discontinue services, features, or Growth Channels at its discretion.
Either party may terminate services subject to the Refund & Cancellation Policy. Outstanding balances remain due through the current billing cycle.
Upon termination:
Client Portal access may be revoked
Files or deliverables may be provided upon request, where applicable
Growth Channel services cease unless otherwise covered by an active add-on
7. Third-Party Platforms & Partners
Boss Motto may coordinate services using third-party platforms and professional partners, including but not limited to website hosts, payment processors, advertising platforms, registered agents, and compliance professionals.
Boss Motto is not responsible for:
Third-party downtime, outages, or account suspensions
Policy changes, pricing changes, or platform restrictions
Advertising performance, approval decisions, reach, impressions, leads, or revenue
Boss Motto provides management and oversight, not guarantees of results.
8. Confidentiality
Boss Motto treats Client information as confidential and will not disclose it except as necessary to provide services or comply with legal obligations.
9. Limitation of Liability
To the maximum extent permitted by law:
Boss Motto is not liable for indirect, incidental, or consequential damages
Total liability shall not exceed the amount paid by Client in the preceding three (3) months
Boss Motto does not guarantee business outcomes, rankings, approvals, revenue, ad performance, or platform results
10. Governing Law
This Agreement is governed by the laws of the State of Michigan, without regard to conflict of law principles.
11. Acceptance
By completing checkout, accessing the Client Portal, or engaging Boss Motto for services, Client acknowledges acceptance of this Agreement and all incorporated policies.
If you do not agree, do not purchase or use Boss Motto services.
